Vux & Hoy Terms & Conditions

These Terms & Conditions apply to all services, orders, invoices, digital products, design services, CGI services, 3D files, images, project files, consultations, and deliverables provided through Vux & Hoy.

Vux & Hoy is an operating name of Lazar Home Inc., a corporation based in Calgary, Alberta, Canada. All contracts, payments, invoices, bank accounts, ownership rights, and business obligations are held by Lazar Home Inc. References to “Vux & Hoy,” “we,” “us,” or “our” mean Lazar Home Inc. operating as Vux & Hoy.

By using this website, submitting an order, uploading files, approving a project, paying an invoice, or accessing client deliverables, you agree to these Terms & Conditions.

1. Services

Vux & Hoy provides product design, CGI imagery, AI-assisted visual content, 3D asset development, product visualization, white background images, lifestyle images, concept design, design development, and related digital services.

Services may include, but are not limited to:

• Product design concepts
• CGI product imagery
• White background product images
• Lifestyle or in-situ renderings
• 3D files and product assets
• AI-assisted image and design generation
• Material, finish, and colourway visualization
• Product presentation files
• Project review and approval materials

The exact scope of each project will be described in the applicable order confirmation, invoice, proforma invoice, proposal, checkout summary, or project brief.

2. Legal Entity and Payment Recipient

Vux & Hoy is a brand and operating name of Lazar Home Inc.

All payments, invoices, proforma invoices, bank transfers, Stripe payments, and commercial transactions are made to Lazar Home Inc.

Bank account ownership, Stripe account ownership, tax records, and payment records are maintained by Lazar Home Inc.

A payment made to Lazar Home Inc. for Vux & Hoy services is considered payment to Vux & Hoy.

3. Client Responsibility for Uploaded Materials

By uploading, submitting, emailing, or otherwise providing any files, images, drawings, sketches, CAD files, product photos, brand references, moodboards, logos, packaging, trademarks, materials, samples, specifications, or other reference materials, you confirm that:

• You own the material, or have the legal right to use and share it.
• You have permission to provide it to Vux & Hoy for commercial project use.
• The material does not infringe the intellectual property, privacy, publicity, moral, contractual, or other rights of any third party.
• The material does not contain confidential third-party information that you are not authorized to disclose.
• The material may be used by Vux & Hoy, its contractors, software tools, AI tools, rendering tools, and production partners as needed to complete the project.

You are responsible for ensuring that all uploaded and supplied materials are lawful, cleared, accurate, and permitted for commercial use.

4. No Unauthorized Third-Party IP

You must not ask Vux & Hoy to copy, reproduce, imitate, modify, or create derivative work from protected third-party designs, products, images, trademarks, logos, characters, trade dress, packaging, artwork, brand assets, copyrighted works, or proprietary materials unless you have the legal right to do so.

You must not submit reference materials for the purpose of creating a confusingly similar design, image, product, or brand asset based on another company’s intellectual property.

Vux & Hoy may refuse, pause, or cancel any project that appears to involve unauthorized third-party intellectual property.

5. AI-Assisted and Digitally Generated Work

Vux & Hoy may use artificial intelligence tools, CGI tools, rendering engines, image generation tools, 3D software, automation systems, plugins, vendor tools, and other digital production methods to create or assist in creating project deliverables.

You acknowledge that AI-assisted outputs may be influenced by software systems, training data, prompts, reference material, and digital production processes that are not fully controlled by Vux & Hoy.

Vux & Hoy does not guarantee that AI-assisted or digitally generated deliverables are unique, exclusive, registrable, copyrightable, trademark-cleared, patent-cleared, or free from similarity to third-party materials.

Vux & Hoy does not conduct formal intellectual property clearance, trademark clearance, design patent clearance, copyright clearance, or freedom-to-operate searches unless specifically agreed in writing as a separate paid service.

The client is responsible for reviewing final deliverables and determining whether they are suitable for commercial use, manufacturing, publication, advertising, retail, packaging, distribution, or registration.

6. Commercial Licence After Payment

Unless otherwise agreed in writing, Vux & Hoy grants the client a worldwide, perpetual, royalty-free, paid-up commercial licence to use the final approved deliverables created specifically for the client’s project after full payment has been received.

This licence allows the client to use final approved deliverables for:

• E-commerce
• Product listings
• Retail presentations
• Buyer presentations
• Marketing
• Advertising
• Social media
• Internal business use
• Manufacturing communication
• Product development
• Sales materials
• Packaging previews
• Commercial product launches

This licence applies only to the final approved deliverables provided to the client. It does not automatically include unused concepts, rejected directions, working files, source files, native files, prompts, process files, layered files, editable 3D files, software scenes, internal production systems, or proprietary methods unless those items are specifically included in the order.

7. Ownership Before Payment

All designs, images, CGI files, concepts, drafts, previews, work-in-progress materials, project files, and deliverables remain the property of Lazar Home Inc. operating as Vux & Hoy until full payment has been received.

No commercial licence is granted until payment is complete.

If payment is declined, reversed, disputed, charged back, unpaid, or cancelled, the client must stop using the deliverables immediately.

8. Source Files and Working Files

Unless specifically included in the order, Vux & Hoy is not required to provide source files, native software files, layered design files, editable 3D scenes, prompts, AI workflow details, material libraries, lighting setups, internal process files, vendor files, or production templates.

Deliverables will be provided in the format listed in the order confirmation, such as JPG, PNG, TIFF, PDF, OBJ, FBX, GLTF, STEP, or other agreed formats.

9. Revisions

Each order includes the number of revision rounds stated in the order confirmation.

Unless otherwise stated, Vux & Hoy includes up to two rounds of revisions within the approved project scope.

Additional revisions may require additional fees. Examples of additional billable changes include:

• New angles
• New settings
• New materials
• New colourways
• New product forms
• Structural product changes
• Missing or incorrect source information
• Changes after approval
• New creative directions
• Changes outside the original brief

10. Client Approvals

The client is responsible for reviewing all previews, drafts, proofs, renders, files, specifications, and deliverables before approval.

Approval confirms that the client has reviewed the work and accepts the deliverable for its intended use.

Vux & Hoy is not responsible for errors, omissions, incorrect dimensions, inaccurate product information, material mismatches, typographical errors, or visual details that were approved by the client or caused by incomplete or inaccurate client-supplied information.

11. Payment Terms

Payment terms will be stated at checkout, on the invoice, or on the proforma invoice.

Unless otherwise agreed in writing, payment is required before production begins.

For Stripe payments, production begins after payment confirmation and project intake completion.

For proforma invoice or bank transfer payments, production begins after payment has cleared and all required source materials have been received.

All payments are made to Lazar Home Inc.

12. Taxes

Applicable taxes will be calculated based on the nature of the services, the client location, and applicable Canadian tax rules.

The CRA states that GST/HST rate depends on the type of supply and place of supply. Alberta has no provincial sales tax, but GST/HST obligations may still apply depending on the transaction.

Clients outside Alberta or outside Canada may be subject to different tax treatment depending on the service, location, and applicable law.

13. Refunds and Cancellations

Because Vux & Hoy provides custom digital services, design services, CGI services, and project-specific deliverables, payments are generally non-refundable once production has started.

If a client cancels before production begins, Vux & Hoy may, at its discretion, issue a partial refund less any payment processing fees, administrative time, project setup time, consultation time, vendor costs, or work already performed.

If a project is cancelled after work has started, Vux & Hoy may retain payment for work completed, time allocated, vendor commitments, and production resources used.

Nothing in these Terms limits any rights that may apply under Alberta consumer protection laws. Alberta’s Internet Sales Contract Regulation sets out rules for certain internet sales contracts, including cancellation and refund rules in some circumstances.

14. Intellectual Property Risk and Indemnity

The client agrees to indemnify and hold harmless Lazar Home Inc., operating as Vux & Hoy, and its directors, officers, contractors, vendors, and service providers from any claims, damages, losses, liabilities, expenses, legal fees, or disputes arising from:

• Client-supplied materials
• Unauthorized use of third-party intellectual property
• Client instructions that result in alleged infringement
• Use of trademarks, logos, product designs, copyrighted works, or brand references supplied by the client
• Commercial use of final deliverables by the client
• Manufacturing, selling, advertising, or distributing products based on project deliverables
• Any claim that client-provided references or instructions infringed another party’s rights

Vux & Hoy will use reasonable care in creating original work, but the client acknowledges that AI-assisted and digitally generated outputs may carry uncertainty. Vux & Hoy is not liable for accidental similarity, alleged infringement, or third-party IP claims arising from the client’s use of deliverables, except where required by law.

15. Limitation of Liability

To the maximum extent permitted by law, Lazar Home Inc. operating as Vux & Hoy will not be liable for indirect, incidental, special, consequential, punitive, or lost-profit damages.

Vux & Hoy’s total liability for any claim related to a project, order, invoice, deliverable, or service will not exceed the amount paid by the client for the specific order giving rise to the claim.

16. Portfolio Use

Unless the client requests confidentiality in writing before the project begins, Vux & Hoy may display completed work, images, designs, renders, case studies, project descriptions, and non-confidential deliverables in its portfolio, website, social media, sales materials, award submissions, and marketing.

Vux & Hoy will not knowingly disclose confidential client information, unreleased product information, or sensitive business information where the client has clearly identified that information as confidential.

17. Confidentiality

Each party agrees to take reasonable care to protect confidential information shared during a project.

Confidential information does not include information that is publicly available, independently developed, already known, or lawfully obtained from another source.

18. Privacy

Vux & Hoy may collect client information such as names, company names, email addresses, billing details, project information, uploaded files, payment information, and communication history for the purpose of providing services, processing payments, managing projects, and maintaining business records.

Alberta’s Personal Information Protection Act applies to many private-sector businesses in Alberta and regulates how personal information is collected, used, and disclosed.

Payment processing may be handled by third-party providers such as Stripe. Email communications may be handled through third-party providers such as Resend.

Vux & Hoy will use reasonable safeguards to protect client information, but no online system can be guaranteed to be completely secure.

19. Email Communications

By submitting an order, creating an account, requesting a quote, or becoming a client, you agree that Vux & Hoy may send you transactional emails related to your project, invoice, payment, account, deliverables, approvals, or service.

Marketing emails will be handled separately where required by law. CASL generally requires consent, identification information, and an unsubscribe mechanism for commercial electronic messages.

20. Governing Law

These Terms & Conditions are governed by the laws of the Province of Alberta and the federal laws of Canada applicable in Alberta.

The place of contract, performance, and dispute resolution is Calgary, Alberta, Canada.

21. Dispute Resolution

The parties agree to first attempt to resolve any dispute through good-faith written communication.

If the dispute cannot be resolved informally, the parties agree to attempt mediation in Calgary, Alberta before commencing court proceedings, unless urgent legal relief is required.

If court proceedings are required, the parties agree that the courts of Alberta will have jurisdiction. The Alberta Court of Justice Civil Division hears many private disputes up to $100,000, while the Court of King’s Bench of Alberta hears civil proceedings including commercial matters.

22. Changes to Terms

Vux & Hoy may update these Terms & Conditions from time to time.

The version posted on the website at the time of order will apply to that order unless otherwise agreed in writing.
